Engineers T&C

For Engineers Working With NIES (Nexus Industrial Engineering Services)

Effective Date: 10/01/2026

1. Definitions

  • “NIES” refers to Nexus Industrial Engineering Services.

  • “Engineer” / “Subcontractor” refers to any self-employed individual providing services to NIES.

  • “Client” refers to any third party customer of NIES.

  • “Services” refers to engineering work subcontracted by NIES.

2. Self-Employed Status

All engineers engaged by NIES are self-employed subcontractors.

Nothing in these Terms & Conditions shall be deemed to create an employment relationship, partnership, or joint venture between NIES and the engineer. Engineers do not work directly for NIES and have no entitlement to employee benefits, holiday pay, sick pay, pension contributions, or statutory employment rights.

3. Qualifications & Competence

Engineers must be fully qualified and competent to carry out the role for which they are engaged.

  • Engineers are required to hold all relevant qualifications, certifications, and training necessary for the services provided.

  • Proof of qualifications must be provided upon request at any time.

  • Failure to provide satisfactory evidence when requested may result in immediate suspension or termination of the engineer’s subcontractor account.

4. Shift Cover & Attendance Policy

Where engineers accept booked shift cover or work assignments:

  • Attendance is mandatory once confirmed.

  • NIES operates a one-chance rule for shift cover.

  • Failure to attend a confirmed shift for any reason other than a verified emergency will result in immediate termination of the engineer’s subcontractor account.

  • This policy exists due to contractual obligations with clients and operational risk.

  • cancelations are only accepted 96 hours (4 day) prior to arranged cover. anything within that time is subject to non-attendance even if shift is covered by someone else.

5. Insurance & Business Registration

As self-employed subcontractors, engineers are responsible for maintaining:

  • Valid public liability insurance (and any other insurance relevant to their trade)

  • Any required professional indemnity insurance, where applicable

  • Appropriate business registration as a sole trader or limited company

Engineers may be asked to provide proof of insurance and registration at any time. Failure to do so may result in suspension or termination.

6. Tax & VAT Responsibility

Engineers are solely responsible for:

  • Their own tax obligations

  • National Insurance contributions

  • VAT registration and VAT payments, where applicable

NIES does not calculate, deduct, or withhold tax or VAT from payments made to engineers. All payments are made on a gross basis, and engineers are fully responsible for declaring income to HMRC.

7. Payment Terms

  • Payment rates and terms will be agreed prior to work being undertaken.

  • Engineers must submit valid invoices where required.

  • NIES reserves the right to withhold payment where work is incomplete, unsatisfactory, or in breach of these Terms & Conditions.

8. Professional Conduct

Engineers must:

  • Act professionally at all times

  • Comply with all site rules, health & safety requirements, and client policies

  • Represent NIES in a professional manner when attending client sites

Any misconduct or behaviour that damages NIES’ reputation may result in immediate termination.

9. Termination

NIES reserves the right to terminate an engineer’s subcontractor account immediately if the engineer:

  • Breaches these Terms & Conditions

  • Fails to attend confirmed shift cover

  • Fails to provide proof of qualifications or insurance

  • Acts negligently, unprofessionally, or unlawfully

Engineers may also cease accepting work from NIES at any time.

10. Limitation of Liability

Engineers are responsible for the quality, safety, and legality of the services they provide. NIES accepts no liability for loss, damage, or claims arising from an engineer’s actions, omissions, or failure to comply with applicable laws or regulations.

11. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.

CLIENT TERMS & CONDITIONS

Nexus Industrial Engineering Services (NIES)

Effective Date: 10/01/2026

1. Definitions

  • “NIES”, “we”, “us”, “our” refers to Nexus Industrial Engineering Services.

  • “Client” refers to any individual or business engaging NIES for services.

  • “Engineer” refers to a self-employed subcontractor engaged by NIES to deliver services.

  • “Services” refers to engineering, maintenance, inspection, shift cover, or related works provided by NIES.

2. Provision of Services

2.1 NIES provides engineering services by subcontracting fully qualified, self-employed engineers appropriate to the scope of work requested.

2.2 All engineers engaged by NIES are selected based on qualifications, competence, and experience relevant to the role.

2.3 NIES reserves the right to assign engineers at its discretion to meet operational and client requirements.

2.4 by agreeing the client allows us to use photos, company logo and name on our website for documentation purposes.

3. Engineer Qualifications & Standards

3.1 NIES requires all subcontracted engineers to be fully qualified and competent for the services they provide.

3.2 Engineers are contractually obligated to hold and maintain all relevant certifications, licences, and training required by law and industry standards.

3.3 NIES operates a policy whereby engineers must provide proof of qualifications and insurance upon request, ensuring compliance and professional standards.

4. Attendance & Shift Cover Standards

4.1 NIES places a high priority on reliability and attendance, particularly for shift cover and time-critical works.

4.2 Engineers subcontracted by NIES are subject to a strict attendance policy, including a one-chance rule for confirmed shift cover.

4.3 Failure by an engineer to attend a confirmed shift results in immediate removal from NIES’ approved engineer pool.

4.4 While NIES takes all reasonable steps to ensure attendance, the Client acknowledges that engineers are independent subcontractors and, in rare circumstances, non-attendance may occur due to unforeseen events.

4.5 In the event of non-attendance, NIES will use reasonable endeavours to provide a replacement engineer where practicable but does not guarantee immediate cover in all circumstances.

5. Subcontractor Status

5.1 All engineers providing services are independent, self-employed subcontractors and do not work directly for NIES.

5.2 NIES remains responsible for managing subcontractor engagement, vetting, and allocation in accordance with these standards.

6. Health & Safety

6.1 NIES requires all engineers to comply with applicable health & safety legislation, site rules, and Client policies.

6.2 The Client agrees to provide a safe working environment, relevant risk assessments, method statements, and site-specific safety information prior to commencement of Services.

6.3 NIES shall not be liable for delays or failures caused by unsafe site conditions or incomplete safety information.

7. Liability

7.1 NIES shall exercise reasonable skill and care in the provision of Services.

7.2 NIES shall not be liable for loss, damage, or delay arising from circumstances beyond its reasonable control, including but not limited to subcontractor illness, emergency situations, or force majeure events.

7.3 Engineers are required to carry appropriate insurance; however, NIES’ liability is limited to the extent permitted by law and as agreed in writing.

8. Payments

8.1 Fees for Services shall be agreed prior to commencement of work.

8.2 Invoices shall be issued in accordance with agreed terms.

8.3 Late payment may result in suspension of Services and/or legal action.

9. Cancellations

9.1 The Client must provide reasonable notice for cancellation of booked Services.

9.2 Late cancellations may be chargeable where engineers have been allocated or committed.

10. Confidentiality

10.1 Both parties agree to keep confidential any commercial, technical, or operational information disclosed during the course of Services.

11. Governing Law

11.1 These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

12. Acceptance

12.1 By engaging NIES or accepting Services, the Client confirms acceptance of these Terms & Conditions.
